Terms and Conditions


You must agree to the following terms and conditions before you sign up:

1. Interpretation

Throughout these terms and conditions:
'RSTO' means RSTO Limited, a company incorporated under the Companies Act (1985), SC221596, having its registered place of business at 99 Giles Street, Leith, Edinburgh, Scotland. They can be contacted directly by telephone on 08700 860006 or by email to advice@tradeonlineproject.com Our VAT Registration Number is 783 3769 82;
'Client Company' means the person whose offer for the Services is accepted by RSTO 'Project' means any customer service run by RSTO or its authorised agents;
'Force Majeure' means any Act of God, explosion, flood, tempest, lightning strike, fire, accident, war or threat of war, sabotage, insurrection, civil disturbance or requisition, acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority, import or export regulations or embargoes, strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of RSTO or of a third-party), difficulties in obtaining raw materials, labour, fuel, parts or machinery or power failure or breakdown in machinery;
'Order Confirmation' means confirmation by RSTO of acceptance of the Customer's Order issued upon process of the Customer's order;
'RSTO Site' means the website published by RSTO on the World Wide Web of the Internet with the uniform resource locator http://www.tradeonlineproject.com;
'Writing' includes electronic mail, telex, cable, facsimile transmission, and comparable means of communication.

2. Price of Services
The price of the services will be those specified by RSTO in the Order Confirmation. All prices listed on the RSTO Site or in promotional literature shall be treated as an invitation to treat and should not be construed by the Client Company as an offer binding RSTO to any obligation. The Client Company must sign-up and pay in full for the Project before their chosen start date.
Any typographical, clerical or other error or omission in any sales literature, price list, website text, acceptance of offer, invoice or other document or information issued by RSTO shall be subject to correction without any liability on the part of RSTO. Unless otherwise stated the price for the RSTO services shall be in Pounds Sterling (£).
All online credit card and debit card payments taken by RSTO are secured by a trusted third party using SSL/128 bit encryption.

3. RSTO Obligations
By accepting payment from the Client Company RSTO agree to be bound by the following obligations:
I. RSTO will give the Client Company an impartial overview of the eCommerce software options available in the UK.
II. RSTO shall provide access to appropriate web design professionals to build the Client Company website for the duration of the project.
III. RSTO hereby licenses the Client Company the right to use the software for the selected products and the copyright in the design work in perpetuity.
IV. RSTO shall assist in the development of a live e-commerce website viewable for common web browser software.
V. Any times and dates stated for delivery are an estimate only and time shall not be of the essence.

4. Client Company Obligations By payment of the services fee the Client Company agree to adhere to the following conditions:
I. Purchase (where required) the relevant licenses for the solutions and products (as chosen by the agent of the Client Company)
II. Meet the ongoing costs of the chosen products (including hosting, annual fees, etc)
III. Nominate an employee or representative with the authority to choose and implement the e-commerce strategy for the Client Company
IV. Technical obligations: In order to fully utilise many of the solutions and products in the marketplace RSTO recommend that the Client Company has access to a computer with at least the following specification:500Mhz PC running Windows 98, 2000, ME, XP or NT4; minimum 128MB memory, 256MB preferred, 60MB free disk space, recommend 65536 colour display. For the purposes of telephone training, Client Company internet connection must be available whilst phone line is in use and preferably via a broadband connection or a dialup/ISDN connection via dedicated line.
V. Rescheduling: Client Company is permitted to reschedule up to 3 times, with two days notice all project sessions involving interaction between themselves and RSTO personnel. These sessions will include “Talk Times” such as phone consultations and training sessions, project milestones such as implementation review and completion sessions and all other points of project delivery.
VI. Telephone sessions: Client Company should contact RSTO on 08700 860 006 number in order to conduct Talk Times and telephone training. RSTO may at their discretion call client companies but strictly on UK geographic landlines.
VII. Preparation: Client Company should use the project workbooks to complete all preparation modules prior to their Talk Times unless otherwise agreed. Failure to complete the project workbook in line with the deadlines may delay the project. Extra time taken by RSTO may in exceptional circumstances become chargeable to the Client Company at the hourly rates quoted in the Project Report.
VIII. Web link: Client Company agrees to feature a graphical URL link to www.tradeonlineproject.com on the footer of each webpage developed by RSTO.
IX. Failure to commence Project: In the event that the Client Company fails to commence their Project within three months of the invoice date for their Project, (and any such delay is not attributable to RSTO) then RSTO reserve the right to cancel the Project. The Client Company shall forfeit any monies paid in respect of such Project or ancillary services.

5. Cancellation Policy

Under normal circumstances it is not the policy of RSTO to refund payment for the services as they are bespoke in nature. RSTO will permit rescheduling of a Project with not less than 7 days notice up to 3 months from the invoiced date.

6. Disclaimer

All information given during the project and on the RSTO Site is intended as an information guide and shall not be construed as exclusive or legally binding. Companies act on the advice of RSTO at their own discretion. RSTO do not accept liability for errors or omissions whether from RSTO, its agents, the RSTO Site, or external links contained within the RSTO Site.

7. Data Protection and Email Policy

RSTO conform to both the Data Protection Act, 1998, and the Privacy and Electronic Communications Act (passed into law on 11 Dec 03). RSTO do not send random marketing emails to personal email addresses (spam). The RSTO website uses cookies for the sole purpose of transferring user name and password information within the customer workflow area; these cookies do not store or use any personal information.

8. Applicable Law

Any conflicts over the interpretation of theses terms and conditions shall be governed by the law of Scotland. The Scottish Courts will have jurisdiction in any disputes between us.
